Terms of Service

This End User License Agreement (“Agreement”) serves as the terms of service for the software described below. By accessing or using the Software, an authorized user agrees to the terms of this Agreement.

1. Scope

This Agreement governs the use of Powell Finance LLC’s internal software applications (“the Software”), private, internal-use software developed and operated by Powell Finance LLC (“PowellFI”). The Software includes the PowellFI MCP Server, Book-Line, and any future internal applications PowellFI operates. The Software is not distributed to the public and is not made available outside of Powell Finance LLC. Use of the Software is restricted to authorized PowellFI personnel performing PowellFI’s internal accounting and business operations.

2. Grant of license

PowellFI retains all rights, title, and interest in and to the Software, including all intellectual property rights. No license, sublicense, or right to use the Software is granted to any party outside of authorized Powell Finance LLC personnel. Authorized personnel are granted a non-transferable, revocable, internal-use-only right to operate the Software in the course of their work for Powell Finance LLC.

3. Restrictions

The Software may not be copied, distributed, sold, sublicensed, rented, leased, or otherwise made available to any party outside of Powell Finance LLC. The Software may not be reverse-engineered, decompiled, or disassembled except to the extent such activity is expressly permitted by applicable law. No person outside of authorized Powell Finance LLC personnel may access or use the Software.

4. Data handling

The Software accesses data from third-party business systems (including Intuit QuickBooks Online and Google Workspace) under authorization granted by the respective account holders. Handling of that data is governed by the PowellFI Privacy Policy, available at powellfi.com/privacy. The Software is not a substitute for the terms of service of any underlying third-party system; authorized users remain bound by the terms of service of each third-party system the Software connects to.

5. No warranty

The Software is provided “as is,” without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Powell Finance LLC does not warrant that the Software will be uninterrupted, error-free, or free of defects. The entire risk arising out of use of the Software remains with the authorized user.

6. Limitation of liability

To the fullest extent permitted by applicable law, Powell Finance LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from the use or inability to use the Software. Powell Finance LLC’s total liability under this Agreement shall not exceed one hundred United States dollars (USD $100).

7. Governing law

This Agreement is governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in California.

8. Termination

Powell Finance LLC may terminate this Agreement and any authorized user’s access to the Software at any time, with or without cause, effective immediately upon notice. Upon termination, all rights granted under this Agreement cease immediately.

9. Changes

Powell Finance LLC may update this Agreement from time to time. The “Effective date” above reflects the most recent version. Continued use of the Software after changes constitutes acceptance.
